TRW STOCKBROKERS LTD was incorporated in 1987 with an authorized share capital of N200, 000.00.

This has, as well, been increased to N40 million in 1999 in full compliance with the Securities and Exchange Commissions guidelines for capital market operations.

TRW Stockbrokers Ltd now has N110,000,000 authorized share capital and with a paid up capital of N75,600,000.

The Company was granted dealing membership license of the Nigerian Stock Exchange in May 1989 through the Port Harcourt Zone.

The company's Office was located in Benin City when it was licensed and as a rule of the Stock Exchange it was required to trade in at least two floors, and we selected Port Harcourt and Lagos .

TRW Stockbrokers Ltd did not actively trade until 1994 when its head office was relocated to Lagos .

Since then it has moved from strength to strength.

 

Major activities since 1984

Apart from Stock Broking activities, the Company has been one of the parties to the following public issues as Stockbrokers.

  • Sterling Products (Nig.) Plc Rights Issue of 39,520,000 ordinary shares of 50k each at N4.00 in 1995.
  • Offer for subscription of 121,500,000 ordinary shares of 50k at 190k each of seven-up Bottling Company Plc.
  • Offer by way of Rights 60,750,000 units of Seven Up Bottling Company Plc unsecured convertible Debenture stock at 190k per unit of stock in 1995.
  • The merger between SmithKline Beecham Nig. Plc and Sterling Products Plc in which a total of 368,853,333 Sterling Products shares were exchanged for 210,773,333 shares of SmithKline Beecham.
  • Offer for subscription 2,000,000 units of N1.00 each in IBTC Nigerian Equity Fund.
  • Financial Advisers to crown cork & Steel Company (Nig.) Ltd and Can Makers Nigeria Ltd in their merger with Carnaud Metal Box Nigeria Plc in 1997.
  • Offer for subscription of 320,000,625 ordinary shares of NAL Merchant Bank Plc.
  • Offer for sale of 419, 432, 200 ordinary share of NAL Merchant Bank at 275k in 2000.
  • Offer for sale of 19,195,686 ordinary shares of IMB @ 75K in 2000
  • Underwritten Aba Textile Mills Plc 71,141,350 ordinary shares of 50k each at N2.80 per share.
  • National Salt Company of Nigeria Plc 65,846,667 ordinary shares of 50k each at 3.50k per share.
  • First Bank of Nigeria Plc 120,941,195 ordinary shares of each at N3.50 per share.
  • We have remained one of the two financial advisers to the over 3billion naira worth AMIF (AIICO Managed Investment Fund), which has returned tremendously to its numerous subscribers over the last 10 Years.
  • We took strong positions and helped in mobilization of investors that prevented an under subscription in these offers.
  • In addition, we handled the 133,621,364 ordinary shares of Nigerian Breweries Plc sales between CWA Holdings Ltd of London and Heineken Brouwerijen B.v of the Netherlands , the largest single deal on the floor of the Nigerian Stock Exchange since its inception both in volume and value.
